Resemble AI Builders Grant Terms of Service

These Resemble AI Builders Grant Terms of Service (“Grant Terms”) are between you (“you”, “your”, or “Recipient”) and Resemble AI Inc. (“Resemble AI”, “we”, “us”, or “our”) and govern your participation in the Resemble AI Builders Grant program (“Builders Grant” or “Program”). By applying for or accepting a Builders Grant, you agree to be bound by these Grant Terms.

1. Incorporation by Reference

These Grant Terms supplement, and do not replace, Resemble AI’s Terms of Service located at https://www.resemble.ai/terms-of-service/ (“Main Terms”) and Privacy Policy located at https://www.resemble.ai/privacy-policy/ (“Privacy Policy”), both of which are incorporated herein by reference. In the event of any conflict between these Grant Terms and the Main Terms, these Grant Terms shall govern solely with respect to the Builders Grant program. Defined terms used but not defined in these Grant Terms have the meanings set forth in the Main Terms.

Your use of Resemble AI’s Services, including any credits received through the Builders Grant, remains subject to all provisions of the Main Terms, including but not limited to the Acceptable Use provisions (Section 8), Intellectual Property provisions (Section 2), and Limitation of Liability provisions (Section 12).

2. Eligibility

2.1 Eligibility Requirements

To be eligible for the Builders Grant program, you must meet the following requirements at the time of application:

a) Company Size: Your company must have fewer than fifty (50) employees; OR you must be actively building a new voice-enabled product with plans to launch within six (6) months of application, regardless of company size;

b) Product Focus: You must be building a product intended for commercial use or long-term market deployment. One-off projects, campaigns, or short-term initiatives are not eligible;

c) Customer Status: You must not be an existing paid customer of Resemble AI. Current users of Resemble AI’s free tier are eligible to apply;

d) Account Requirement: You must have an active Resemble AI account prior to submitting your application;

e) Legal Standing: You must be duly organized, validly existing, and in good standing as a corporation or other legal entity under the laws of your jurisdiction of incorporation or organization;

f) Sanctions Compliance: You must not be (i) subject to any economic or financial sanctions or trade embargoes in any jurisdiction; or (ii) located in a country or territory that is subject to economic sanctions or trade embargoes imposed by the United States Government, Canada, or the European Union.

2.2 Application Limits

Each company may submit only one (1) application to the Builders Grant program. If you operate multiple legal entities, each entity may submit one application, provided each entity independently meets the eligibility requirements.  For purposes of this limitation, ‘related entities’ include any entities that: (a) share common ownership of fifty percent (50%) or more; (b) share common management or control; (c) are under common control with you; or (d) are otherwise affiliated such that the application would circumvent the one-application limit. Resemble AI reserves the right, in its sole discretion, to deny applications from related entities or to limit the total number of grants awarded to a group of related entities.

2.3 Eligibility Verification

Resemble AI reserves the right to verify your eligibility at any time during the application process or grant term. You agree to provide accurate and complete information in your application and to promptly update Resemble AI if any information changes. Misrepresentation of eligibility information may result in immediate termination of your grant and forfeiture of any remaining credits.

2.4 No Guarantee of Acceptance

Meeting the eligibility requirements does not guarantee acceptance into the Builders Grant program. Resemble AI reviews all applications and approves grants at its sole discretion.

3. Grant Terms

3.1 Credit Amount

Grant amounts range from Five Hundred United States Dollars ($500 USD) to Thirty Thousand United States Dollars ($30,000 USD) in Resemble AI platform credits. The specific grant amount awarded to you will be determined by Resemble AI in its sole discretion based on your use case, company stage, expected usage, and other factors.

3.2 Grant Duration

Credits must be used within twelve (12) months from the date of grant approval (“Grant Term”). Any unused credits will expire automatically at the end of the Grant Term.

3.3 Applicable Services

Builders Grant credits may be applied toward usage of the following Resemble AI Services:

a) Voice Generation APIs: Including but not limited to Text-to-Speech, Speech-to-Speech, Voice Cloning, and related voice generation services;

b) Deepfake Detection APIs: Including but not limited to audio, video, and image detection services, and related verification services;

c) Related Platform Features: Including but not limited to PerTh Watermarking, Voice Design, and Audio Intelligence features.

3.4 Excluded Services

Builders Grant credits may NOT be applied toward:

a) On-premise deployments or self-hosted solutions;

b) Enterprise support packages or dedicated customer success management;

c) Custom model training or fine-tuning services;

d) Any services not available through Resemble AI’s standard cloud-based API.

3.5 Credit Application

Credits will be applied to your Resemble AI account within forty-eight (48) hours of grant approval. Credits are tied to a single Resemble AI account and cannot be transferred to other accounts.

4. PerTh Watermarking

4.1 Mandatory Watermarking

All voice content generated using Builders Grant credits will include Resemble AI’s PerTh (Perceptual Hashing) watermarking by default. This watermarking enables authentication and provenance verification of generated content.

4.2 Watermarking Acknowledgment

By accepting a Builders Grant, you acknowledge and agree that:

a) PerTh watermarking will be applied to all voice content you generate using the Services;

b) The watermark is designed to be imperceptible to human listeners but detectable by Resemble AI’s verification systems;

c) You will not attempt to remove, circumvent, or interfere with PerTh watermarking on any content generated using the Services.

5. Use Restrictions

5.1 Prohibited Uses

In addition to the Acceptable Use provisions in the Main Terms (Section 8), you agree that you will not:

a) Sell, resell, rent, lease, loan, assign, license, sublicense, or otherwise transfer or make available your Builders Grant credits or access to your account to any third party;

b) Exchange or attempt to exchange Builders Grant credits for cash, cryptocurrency, or any other form of monetary value;

c) Use credits received through the Builders Grant to provide services to third parties on a commercial time-sharing or service bureau basis;

d) Use outputs from the Deepfake Detection APIs to train, improve, or otherwise develop your own or any third party’s deepfake detection model, product, or service;

e) Use outputs from the Voice Generation APIs to train, improve, or otherwise develop competing voice generation products or services;

f) Distribute credits across multiple accounts or circumvent usage limits through multiple applications;

g) Make any warranties or representations concerning the Services except as expressly authorized by Resemble AI in writing.

5.2 Compliance

You are solely responsible for ensuring that your use of the Services complies with all applicable laws, regulations, and third-party rights, including but not limited to privacy laws, intellectual property laws, and consent requirements for voice cloning.

6. Account Requirements

6.1 Account Creation

You must create and maintain an active Resemble AI account to apply for and receive Builders Grant credits. Your account must be created using a valid business email address.

6.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. All activities occurring under your account are your sole responsibility. You must notify Resemble AI immediately at [email protected] if you become aware of any unauthorized use of your account.

6.3 Single Account

Builders Grant credits are tied to a single Resemble AI account. You may not distribute credits across multiple accounts or transfer credits between accounts.

6.4 Usage Monitoring

Resemble AI reserves the right to monitor your usage of Builders Grant credits and the Services to ensure compliance with these Grant Terms and to detect fraudulent or abusive activity. Such monitoring may include analysis of usage patterns, API call frequency, credit consumption rates, and other technical metrics. If Resemble AI detects suspicious activity or potential violations of these Grant Terms, Resemble AI may: (a) request additional documentation or information from you; (b) temporarily suspend your access to the Services pending investigation; (c) reduce your credit allocation; or (d) terminate your participation in the Builders Grant program in accordance with Section 9. You agree to cooperate fully with any such investigation and to provide requested information within five (5) business days of request.

 

7. Marketing Rights

7.1 Grant of Rights

By accepting a Builders Grant, you grant to Resemble AI a non-exclusive, royalty-free, worldwide license for a period of twelve (12) months from the date of grant approval to use your company name, trade name, trademarks, service marks, logos, and other designations of source (“Recipient Marks”) for the purpose of publicly promoting the Builders Grant program and Resemble AI’s services.

7.2 Scope of Marketing Rights

The marketing rights granted herein include, but are not limited to:

a) Logo Placement: Display of your logo on Resemble AI’s website, marketing materials, and promotional content;

b) Case Studies: Development and publication of case studies featuring your use of Resemble AI’s Services, subject to your reasonable approval of factual accuracy;

c) Social Media: References to your company and participation in the Builders Grant program on Resemble AI’s social media channels;

d) Testimonials: Use of quotes or testimonials provided by your representatives, subject to your approval of the specific content;

e) Press and Media: References to your company in press releases, media interviews, and other public communications regarding the Builders Grant program;

f) Video Content: Participation in video testimonials or promotional content, subject to separate mutual agreement.

7.3 Coordination

Resemble AI will use reasonable efforts to coordinate with you before publishing case studies, testimonials, or other marketing materials that feature specific details about your product or use case. However, Resemble AI may reference your company name and participation in the Builders Grant program without prior approval.

7.4 Recipient Use of Resemble AI Marks

Subject to your compliance with these Grant Terms and Resemble AI’s brand guidelines (available upon request), Resemble AI grants you a limited, revocable, non-transferable, non-sublicensable license to use Resemble AI’s name and logo solely for the purpose of indicating that you are a participant in the Builders Grant program. You may not use Resemble AI’s marks in any manner that implies endorsement, sponsorship, or affiliation beyond your participation in the Program.

8. Term and Expiration

8.1 Grant Term

The Grant Term begins on the date your grant is approved and continues for twelve (12) months, unless terminated earlier in accordance with Section 9.

8.2 Credit Expiration

All unused Builders Grant credits will expire automatically at the end of the Grant Term. Expired credits cannot be reinstated, refunded, or exchanged.

8.3 Post-Expiration

Upon expiration of the Grant Term:

a) Your Resemble AI account will automatically convert to the free tier unless you have elected a paid subscription;

b) You will retain access to any AI Models or content created during the Grant Term, subject to the Main Terms;

c) The marketing rights granted in Section 7 will continue for the full twelve (12) month period from grant approval, regardless of credit expiration.

8.4 Early Credit Exhaustion

If you exhaust your Builders Grant credits before the end of the Grant Term, you may:

a) Continue using the Services on the free tier;

b) Upgrade to a paid subscription plan;

c) Contact Resemble AI at [email protected] to discuss additional credit options.

9. Termination

9.1 Termination by Resemble AI

Resemble AI may terminate your participation in the Builders Grant program and revoke any remaining credits immediately upon notice if:

a) You violate any provision of these Grant Terms or the Main Terms;

b) You no longer meet the eligibility requirements set forth in Section 2;

c) You provided false, misleading, or inaccurate information in your application;

d) You attempt to sell, transfer, or resell your Builders Grant credits;

e) You engage in any fraudulent, abusive, or harmful conduct;

f) You use the Services in a manner that violates applicable laws or third-party rights;

g) Resemble AI discontinues the Builders Grant program.

9.2 Termination by Recipient

You may terminate your participation in the Builders Grant program at any time by providing written notice to Resemble AI at [email protected]. Upon voluntary termination, any unused credits will be forfeited.

9.3 Effects of Termination

Upon termination of your participation in the Builders Grant program for any reason:

a) All unused credits will be immediately forfeited and cannot be reinstated or refunded;

b) Your access to the Services will revert to the free tier unless you elect a paid subscription;

c) The marketing rights granted in Section 7 will survive for the full twelve (12) month period from grant approval;

d) The provisions of Sections 1, 5, 7.1-7.3, 10, 11, 12, 13, and 14 will survive termination.

10. No Warranty

10.1 “As Is” Basis

The Builders Grant, including all credits provided hereunder, is provided on an “AS IS” and “AS AVAILABLE” basis. Resemble AI makes no representations or warranties of any kind, express or implied, regarding the Builders Grant or your participation in the Program.

10.2 Disclaimer

To the fullest extent permitted by applicable law, Resemble AI expressly disclaims all warranties with respect to the Builders Grant, including but not limited to:

a) Any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement;

b) Any warranty that the Services will meet your requirements or expectations;

c) Any warranty that the Services will be uninterrupted, timely, secure, or error-free;

d) Any warranty regarding the accuracy, reliability, or quality of any content or results obtained through the Services.

11. Limitation of Liability

11.1 Exclusion of Damages

To the fullest extent permitted by applicable law, Resemble AI will not be liable to you under any theory of liability (whether based in contract, tort, negligence, warranty, or otherwise) for any indirect, consequential, exemplary, incidental, punitive, or special damages or lost profits arising out of or relating to these Grant Terms or the Builders Grant program, even if Resemble AI has been advised of the possibility of such damages.

11.2 Liability Cap

The total aggregate liability of Resemble AI for any claim arising out of or relating to these Grant Terms or the Builders Grant program, regardless of the form of action, is limited to One Hundred United States Dollars ($100 USD).

11.3 Applicability

The limitations and exclusions in this Section 11 apply to the fullest extent permitted by law and are in addition to, and not in lieu of, any limitations set forth in the Main Terms.

12. Indemnification

You agree to indemnify, defend (at Resemble AI’s option), and hold harmless Resemble AI and its officers, directors, agents, partners, employees, and representatives from and against any losses, liabilities, claims, demands, damages, expenses, or costs (“Claims”) arising out of or related to:

a) Your violation of these Grant Terms or the Main Terms;

b) Your use of the Services or any content generated through the Services;

c) Your violation of any applicable law, regulation, or third-party right;

d) Any dispute between you and any third party relating to your use of the Services;

e) Any misrepresentation made by you in your Builders Grant application.

You will cooperate with Resemble AI in defending such Claims and pay all fees, costs, and expenses associated with defending such Claims (including reasonable attorneys’ fees). Resemble AI will have control of the defense or settlement, at its sole option, of any third-party Claims.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Grant Terms will be governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Grant Terms.

13.2 Arbitration

Except for any claim involving the ownership of intellectual property, all disputes arising out of or in connection with these Grant Terms will be referred to and finally resolved by arbitration under the rules of The ADR Institute of Canada (ADRIC). The arbitration will be conducted by a single arbitrator, administered by ADRIC in accordance with its rules. The place of arbitration will be Toronto, Ontario, Canada. The language of the arbitration will be English.

13.3 Injunctive Relief

Notwithstanding the foregoing, Resemble AI may seek injunctive relief in any jurisdiction in any court of competent jurisdiction, and you agree that these Grant Terms are specifically enforceable by Resemble AI through injunctive relief and other equitable remedies without proof of monetary damages.

13.4 Waiver of Jury Trial and Class Action

With respect to any dispute arising out of or related to these Grant Terms: (i) you hereby expressly waive your right to have a trial by jury; and (ii) you hereby expressly waive your right to participate as a member of a class of claimants in any lawsuit, including but not limited to class action lawsuits involving any such dispute.

14. Miscellaneous

14.1 Modifications

Resemble AI may modify these Grant Terms at any time by posting an amended version. We will provide you with notice of material changes by email or through the Services. The amendments will take effect thirty (30) days after the date on which the amended version is posted. Your continued participation in the Builders Grant program after the effective date of the amended Grant Terms constitutes your acceptance of such amended Grant Terms.

14.2 Assignment

You may not assign or transfer these Grant Terms or any rights or obligations hereunder without Resemble AI’s prior written consent. Resemble AI may assign these Grant Terms without your consent. Any assignment in violation of this section will be void.

14.3 Waiver

Any failure by Resemble AI to enforce a provision of these Grant Terms will not serve as a waiver of Resemble AI’s right to do so.

14.4 Severability

If any provision of these Grant Terms is held to be unlawful, void, or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

14.5 Entire Agreement

These Grant Terms, together with the Main Terms and Privacy Policy, constitute the entire agreement between you and Resemble AI with respect to the Builders Grant program and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.

14.6 Relationship of the Parties

Nothing in these Grant Terms shall be deemed to create an employment, partnership, joint venture, or agency relationship between you and Resemble AI. These Grant Terms do not create any third-party beneficiary rights.

14.7 No NDA

Resemble AI is not able to sign non-disclosure agreements (NDAs) for Builders Grant applications.

15. Acknowledgment

By submitting a Builders Grant application or accepting Builders Grant credits, you acknowledge that you have read, understood, and agree to be bound by these Grant Terms, the Main Terms, and the Privacy Policy.
